1. DEFINITIONS
   1.1. Customer: The natural or legal person who purchases goods from La Parfumista B.V..
   1.2. Distributor: La Parfumista B.V., located at Floridadreef 100, 3565 AM, Utrecht, The Netherlands, registered with the Chamber of Commerce under number 84002492.
   1.3. Products: All goods supplied by La Parfumista B.V., including but not limited to beauty products such as perfumes and skincare products and accessories.
   1.4. Agreement: Any arrangement between the distributor and the customer, whether oral or written, related to the delivery of products.
2. APPLICABILITY
   2.1. These general terms and conditions apply to all quotes, agreements, and deliveries by La Parfumista B.V. unless otherwise agreed in writing.
   2.2. Deviations from these conditions are only valid if confirmed in writing by La Parfumista B.V.
3. QUOTES AND PRICES
   3.1. All quotes are non-binding and valid for 14 days unless otherwise indicated.
   3.2. All deliveries of goods shall be EXW Utrecht, The Netherlands in accordance with Incoterms 2010 unless stated otherwise.
   3.3. Goods delivered to the customer may not be resold to third parties with whom no agreements have been made by La Parfumista B.V.
4. ORDERS AND DELIVERIES
   4.1. Orders are placed by phone, email, or WhatsApp. In principle, all orders are processed unless there is an outstanding payment. In such cases, La Parfumista B.V. reserves the right not to deliver orders until outstanding invoices with expired payment terms have been fully settled. For new customers, the initial order must be fully paid before delivery.
   4.2. Delivery times are indicative and do not constitute a strict deadline. Delays in delivery do not entitle the customer to compensation or cancellation of the agreement.
   4.3. The risk of loss or damage to the products passes to the customer at the time of delivery.
5. SHIPPING AND SHIPPING COSTS
   5.1. Shipping is free for orders with a net invoice amount of 250 euros, unless stated otherwise. For amounts below this, shipping costs will be charged.
   5.2. Shipping is done from our warehouse. La Parfumista B.V. relies on the postal service. Delivery can sometimes be delayed, especially during holidays. La Parfumista B.V. is not liable for this.
6. PAYMENT
   6.1. Payment must be made within 14 days from the invoice date unless otherwise agreed in writing.
   6.2. In case of late payment, the customer is liable for statutory interest and any collection costs.
   6.3. La Parfumista B.V. reserves the right to suspend future deliveries until full payment is received.
   6.4. The goods remain the property of La Parfumista B.V. until the entire invoice amount is paid.
7. COMPLAINTS AND RETURNS
   7.1. Any complaints regarding delivered products must be reported in writing within 10 days of invoice date.
   7.2. La Parfumista B.V. is under no obligation to accept returns, and product exchanges are not permitted.
   7.3. Returns are only accepted if previously approved in writing by La Parfumista B.V..
   7.4. Products specially ordered or produced for the customer cannot be returned.
8. LIABILITY
   8.1. La Parfumista B.V. is not liable for any indirect damage, including consequential damage, loss of profits, or data loss.
   8.2. The liability of La Parfumista B.V. is in all cases limited to the amount paid by the customer for the products to which the liability relates.
9. INTELLECTUAL PROPERTY
   9.1. All intellectual property rights regarding the products and trademarks remain the property of La Parfumista B.V. or its suppliers.
   9.2. The customer may only use the products and associated trademarks for their intended purposes and may not infringe on intellectual property rights.
10. FORCE MAJEURE
    10.1. La Parfumista B.V. is not liable for delays or failures in the performance of the agreement due to force majeure, including but not limited to natural disasters, wars, strikes, and transportation issues.
    10.2. In case of force majeure, La Parfumista B.V. has the right to suspend or terminate the agreement without being liable for any compensation.
11. APPLICABLE LAW AND DISPUTES
    11.1. Dutch law exclusively applies to these general terms and conditions and agreements.
    11.2. Disputes should preferably be resolved by mutual agreement. If this is not possible, disputes will be submitted to the competent court in the district where La Parfumista B.V. is located.
12. AMENDMENT OF GENERAL TERMS AND CONDITIONS
    12.1. La Parfumista B.V. reserves the right to amend these general terms and conditions. The amended terms will be communicated to the customer in due time and will apply to new agreements.
